Terms of Service

Important: These Terms include a binding arbitration clause and a class-action waiver in Section 18 that affect your legal rights. Please read them carefully.
1. Agreement and contracting party
These Terms of Service (“Terms”) form a binding agreement between you and Wise International LLC, a Wyominglimited liability company doing business as ShowingRecap (“ShowingRecap,” “Company,” “we,” “us,” or “our”). The legal contracting party is Wise International LLC, not any individual officer, member, employee, or contractor.
By creating an account, signing in, downloading or using the app, accessing the website, purchasing a subscription, or opening a tour or recap link, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service. If you use the service on behalf of a brokerage or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.
2. The service
ShowingRecap is a software tool that lets real estate agents and similar professionals (“Agents”) create digital showing tours, share magic links with home buyers or other invitees (“Clients”), collect structured feedback, view live preferences, and generate recap reports or PDFs. Clients may access a tour through a browser link without creating an account.
We provide a technology platform only. We are not a real estate brokerage, escrow company, lender, inspector, appraiser, or law firm. We do not verify Agent licensure, MLS membership, or authority to market any property. You are solely responsible for complying with all laws and professional rules that apply to your practice.
3. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- Agent accounts are intended for lawful real-estate-related use in the United States. You may not use the service if you are barred under US sanctions or export-control laws.
- You are responsible for safeguarding credentials (including Apple ID access) and for all activity under your account, whether or not authorized by you, except to the extent caused solely by our proven security failure.
- You must provide accurate profile information. Name, brokerage, photo, and similar branding you supply may be shown to Clients on tours and recaps.
- We may refuse, suspend, or reclaim usernames or accounts that impersonate others, infringe rights, or violate these Terms.
4. Magic links, Clients, and your responsibilities as Agent
- Anyone who possesses a tour or recap link may access the content associated with that link until it expires or is revoked. Links are credentials. You are solely responsible for who you send them to and for any further forwarding by Clients.
- You are solely responsible for obtaining any consent, disclosure, or authorization required from Clients (and any other parties) to collect, process, display, and share preferences, ratings, notes, names, and related content through the service.
- You are responsible for your relationship with Clients, including fair housing, privacy, brokerage, and MLS rules. ShowingRecap has no duty to Clients except as expressly stated in these Terms or the Privacy Policy.
- Links expire automatically (default: 7 days, subject to change). You may regenerate links from the dashboard. Expired or revoked links do not create any continuing access right.
5. Subscriptions, trials, and billing
- The Free plan is limited (currently 1 active tour, up to 5 homes per tour).
- Pro is a paid subscription (currently $19.99/month after a free first month, or $149.99/year billed upfront, plus any introductory pricing shown at purchase). Prices may change with notice; changes apply at your next renewal.
- Subscriptions purchased through the iOS App Store are billed and managed by Apple under your Apple ID and Apple’s terms. Cancel in your device Settings; cancellation generally takes effect at the end of the then-current period. We do not control Apple’s refund decisions.
- Except where required by law or by Apple’s policies, fees are non-refundable, and we do not provide credits for partial periods, unused features, or downgrades.
- We may change plan limits, features, or pricing prospectively. If a change materially increases fees for a paid subscription you already hold, we will provide notice as required by Apple or applicable law; continued use after the effective date constitutes acceptance where permitted.
6. Your content and license to us
“User Content” means tours, property details, addresses, room lists, ratings, tags, notes, photos, profile information, recommendations, and any other material you or your Clients submit. As between you and us, you (or your Clients, as applicable) retain ownership of User Content.
You grant Wise International LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, transmit, display, and create derivative works of User Content solely to operate, secure, maintain, and improve the service (including syncing scores, generating PDFs, backups, and troubleshooting). This license ends when User Content is deleted from our systems, except for reasonable residual copies in backups that are overwritten in the ordinary course.
You represent and warrant that you have all rights necessary to submit User Content and to grant this license, including rights in listing photos and Client-submitted notes, and that User Content does not violate law or third-party rights.
7. Feedback
If you send ideas, suggestions, or feedback, you assign to Wise International LLC all right, title, and interest in that feedback, and we may use it without restriction or compensation.
8. Acceptable use
You agree not to, and not to allow others to:
- Use the service for any unlawful purpose, including discrimination or other violations of fair housing, civil rights, privacy, or real-estate licensing laws;
- Use scores, notes, or recaps to harass, defame, threaten, or unlawfully screen anyone;
- Upload malware; probe, scan, or test vulnerability of the service; bypass access controls; or interfere with other users;
- Scrape, spider, harvest, or use automated means to access the service except via documented APIs we expressly authorize;
- Reverse engineer, decompile, or attempt to extract source code except to the limited extent such restriction is prohibited by law;
- Access another person’s account or data without authorization, or share tour links beyond the intended transaction participants;
- Misrepresent your identity, licensure, brokerage, or affiliation;
- Resell, white-label, timeshare, or commercially exploit the service except as expressly allowed in writing;
- Use the service to store or transmit Social Security numbers, full payment card numbers, medical records, or other highly sensitive regulated data we do not request;
- Engage in any activity that imposes an unreasonable load on our infrastructure or that we reasonably determine is abusive.
We may investigate violations and cooperate with law enforcement. Violation may result in immediate suspension or termination without refund.
9. Not professional advice; no reliance
Ratings, scores, tags, notes, rankings, and recap reports are informal personal preference records for reference only. They are not a home inspection, appraisal, survey, engineering report, environmental assessment, credit report, consumer report under the FCRA, or legal, tax, lending, or investment advice. They must not be relied on as a substitute for professional diligence.
You acknowledge that buying, selling, or leasing decisions involve risk and that you and your Clients will rely on qualified third-party professionals—not on ShowingRecap. We have no obligation to verify the accuracy or completeness of any User Content.
10. Intellectual property
The service—including software, UI, text, logos, and trademarks—is owned by Wise International LLC or its licensors and protected by IP laws. Except for the limited, revocable right to use the service as permitted under these Terms, no rights are granted. You may not use our marks without prior written consent.
11. Third-party services
The service depends on third parties (including hosting, database/auth, email, and Apple for Sign in with Apple and in-app purchases). We are not responsible for third-party acts, omissions, outages, or terms. Your use of Apple services is also governed by Apple’s agreements. Links to third-party sites are provided for convenience only.
12. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DATA WILL NEVER BE LOST OR CORRUPTED. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN COPIES OF ANY CRITICAL INFORMATION.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS. IN THOSE JURISDICTIONS, OUR WARRANTIES ARE LIMITED TO THE MINIMUM SCOPE AND DURATION PERMITTED BY LAW.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISE INTERNATIONAL LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR COST OF SUBSTITUTE SERVICES; OR FOR ANY DAMAGES ARISING FROM CLIENT OR THIRD-PARTY CLAIMS RELATED TO YOUR USE OF THE SERVICE—REGARDLESS OF THEORY OF LIABILITY (CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS (US $100).
THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN AND APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW (INCLUDING LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT WHERE SUCH EXCLUSION IS PROHIBITED).
14. Indemnification
You will defend, indemnify, and hold harmless Wise International LLCand its officers, members, employees, agents, affiliates, and successors from and against any claims, demands, suits, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the service; (b) User Content; (c) your relationship with Clients or other third parties; (d) your violation of these Terms, the Privacy Policy, or any law (including fair housing, privacy, and licensing rules); (e) your sharing or mismanagement of magic links; or (f) any dispute between you and a Client, brokerage, listing party, or other third party.
We may assume exclusive defense and control of any matter subject to indemnification (at your expense). You will cooperate fully and will not settle any claim that imposes obligation on us without our prior written consent.
15. Suspension and termination
You may stop using the service at any time and may request account deletion by emailing legal@showingrecap.app. We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you violated these Terms, create risk or legal exposure, or if we discontinue the service. We may also terminate for convenience with reasonable notice where practicable.
Upon termination: (a) your license to use the service ends; (b) we may delete or disable access to your account and User Content in accordance with our Privacy Policy; and (c) fees already paid are non-refundable except where required by law or Apple policy. Sections 6–7 and 9–22 survive termination.
16. Copyright complaints
If you believe content on the service infringes your copyright, email legal@showingrecap.app with a notice including: your contact information; a description of the work and the allegedly infringing material; a statement under penalty of perjury that you have a good-faith belief the use is unauthorized; and your signature. We may remove content and, in appropriate circumstances, terminate repeat infringers.
17. Governing law
These Terms are governed by the laws of the State of Wyoming, excluding conflict-of-law rules, except that the Federal Arbitration Act governs interpretation and enforcement of the arbitration agreement in Section 18.
18. Dispute resolution; binding arbitration; class waiver
Informal resolution. Before filing a claim, you agree to email legal@showingrecap.app a brief description of the dispute and to attempt good-faith resolution for 30 days.
Binding arbitration.Except for the exclusions below, any dispute, claim, or controversy arising out of or relating to these Terms or the service will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or Commercial Rules if the Consumer Rules do not apply). The seat of arbitration will be Cheyenne, Wyoming, unless you and we agree otherwise or the AAA rules require a different location. Judgment on the award may be entered in any court of competent jurisdiction.
Class action and jury waiver.YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Exclusions. Either party may bring an individual action in small claims court. Either party may seek injunctive or other equitable relief in court to protect intellectual-property rights or to stop unauthorized access or abuse of the service. If the class waiver is found unenforceable as to a particular claim, that claim (and only that claim) may proceed in court, and arbitration will continue for all other claims.
Opt-out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@showingrecap.appwith subject line “Arbitration Opt-Out” and your account email. Opting out does not affect other provisions.
19. Changes to these Terms
We may update these Terms from time to time. We will post the revised Terms with a new effective date. For material changes, we will provide additional notice reasonably calculated to inform you (for example, in-app or email notice where we have an address). Except where applicable law requires otherwise, changes take effect on the stated effective date. If you continue to use the service after that date, you accept the revised Terms. If you do not agree, you must stop using the service and may request account deletion.
20. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the service and supersede prior understandings on that subject.
- Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect.
- Waiver. Failure to enforce a provision is not a waiver of future enforcement.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, corporate reorganization, or sale of assets.
- Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
- No third-party beneficiaries. Except for indemnified parties under Section 14 and Apple under Section 21, these Terms do not create third-party beneficiary rights. Clients are not third-party beneficiaries of Agent accounts.
- Export. You will comply with US export and sanctions laws and will not use the service in embargoed countries or for prohibited end uses.
- Notices. We may provide notices via the service, email, or by posting to the website. Legal notices to us must be sent to legal@showingrecap.app.
- Relationship. The parties are independent contractors. These Terms do not create a partnership, joint venture, employment, or brokerage relationship between you and us, or between us and your Clients.
21. Apple App Store and Sign in with Apple
If you download or use ShowingRecap through the Apple App Store, or use Sign in with Apple or in-app purchases, the following terms apply in addition to these Terms, and control to the extent of any conflict regarding Apple’s role:
- Acknowledgement. These Terms are between you and Wise International LLC only, not with Apple. Wise International LLC, not Apple, is solely responsible for the ShowingRecap app and its content.
- Scope of license. The license granted to you for the iOS app is limited to a non-transferable license to use the app on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Maintenance and support. Wise International LLC is solely responsible for providing maintenance and support. Apple has no obligation to furnish any maintenance or support services for the app.
- Warranty. To the extent any warranty is not effectively disclaimed, Wise International LLC is solely responsible. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for the app; to the maximum extent permitted by law, Apple has no other warranty obligation. Other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to warranty are Wise International LLC’s responsibility.
- Product claims. Wise International LLC, not Apple, is responsible for addressing claims relating to the app or your possession/use of it, including: (i) product liability; (ii) claims that the app fails to conform to legal or regulatory requirements; and (iii) claims arising under consumer protection, privacy, or similar laws.
- Intellectual property claims. In the event of a third-party claim that the app or your possession/use infringes IP rights, Wise International LLC, not Apple, is solely responsible for investigation, defense, settlement, and discharge of that claim.
- Legal compliance.You represent you are not located in a country subject to a US Government embargo or designated as a “terrorist supporting” country, and you are not listed on any US Government list of prohibited or restricted parties.
- Third-party terms. You must comply with applicable third-party terms when using the app (for example, your wireless data agreement).
- Third-party beneficiary.Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as they relate to your license of the iOS app. Upon your acceptance, Apple has the right (and will be deemed to have accepted the right) to enforce those terms against you as a third-party beneficiary.
